‘Custom Build Contract’ Agreement
INDEPENDENT CONTRACT AGREEMENT BETWEEN:
A. The Company

This Independent Contractor Agreement ("Agreement") dated - - . (the "Effective Date") is made between Anthony M Cummings, Identifying as
Cummings Custom Motorsports (the "Company"),

In consideration of the mutual obligations specified in this Agreement, the parties, intending to be legally bound hereby, agree to the following:
1. Services. Company agrees to provide services to the Client for the design, construction, and delivery of a custom bespoke vehicle, as outlined in Exhibit A attached to this Agreement.
2. Consideration / Compensation:
(a) In exchange for the full, prompt, and satisfactory performance of all services to be rendered to the Client within specified parameters provided in “Exhibit A”, the Client shall provide the Company, a full and complete compensation, the sum of $_ _ _ _, _ _ _ _ _ _. _ _ to be paid upon the immediate initiation of the project.
(i.e The Agreement is activated only upon the full purchase of the vehicle.)

(b) The Client is not entitled to receive any other compensation or benefits from the Company. All withholdings, liabilities, and contributions shall be solely the responsibility of the Client.
3. Indemnification / Release:
The Client agrees to indemnify, defend, and hold harmless the Company from any claim, liability, loss, cost, damage, judgment, settlement, or expense arising from the Client's use of the vehicle or any act, error, or negligence on the part of the Client.

4. Insurance and Other Requirements:
The Client warrants that it will obtain and maintain all required insurance coverage for the vehicle and comply with all applicable laws and regulations.

5.Termination:
This Agreement shall be effective at the time of purchase, and shall continue indefinitely throughout the lifetime of the vehicle.

6.Independent Contractor:
The parties agree and understand that the Company is an independent contractor and nothing in this Agreement shall create an employer-employee relationship between them.

7. Returns and Refunds;
Cummings Custom Motorsports Guarantees a 30% of Full Price, Money Back Warranty on ‘Approved Returns’, However we Do Not provide more than 30% Full Price on Returns due to a 30% Restocking fee, processing Fees & Further Tax Liability Coverages.

The Client is Responsible for All Return Shipping & Handling Costs Including Any/All Risks associated Return of the purchased vehicle is requirement for 'Return Refund Approval'.
General:
(a) This Agreement may not be changed unless mutually agreed upon in writing by both parties.

(b) Each provision herein shall be treated as separate and independent, and the unenforceability of any one clause shall not impair the enforceability of the others.
(c) This Agreement contains the entire agreement between the parties hereto with respect to the transactions contemplated and included herein.
(d) All notices provided for in this Agreement shall be given in writing or via a preferred Email address.

Custom Vehicle Build Description and Documentation will be outlined and documented.
photos, videos, written descriptives, & other methods of keeping records throughout the process will be utilized.
The Company will provide copies of all necessary documentation regarding progress & Delivery Timeline Updates to the client willfully and transparently.
{LABEL AND ATTACH CLIENT PROGRESS FILES “EXHIBIT A”, -Sent to Client via preferred contact method of receiving media & Messaging.}
INDEPENDENT CONTRACTOR AGREEMENT SCOPE OF SERVICES & RESPONSIBILITIES;
The Company hereby agrees to provide the following services to the Client:
- Source high-quality components, including frame Materials, engine, wheels, Controls, and other critical component parts.
- Coordinate with suppliers and vendors to ensure timely delivery of parts and materials.
Fabrication and Assembly:
- Fabricate the frame according to the custom design, ensuring structural integrity and alignment.
- Assemble the vehicle, & components, including the engine,
CVT transmission, brake systems, suspension, and electrical systems. - Welding, machining, and custom fabrication as needed to create unique features, modifications, and Custom Components
Customization and Detailing:
- Install custom accessories such as seats, Towing packages, and exhaust systems.
- Pay attention to detail in every aspect of the build, Then Paint and seal the frame, ensuring a cohesive and visually stunning final product.
Testing and Quality Assurance:
- Conduct thorough testing of all mechanical and electrical systems to ensure proper functionality and safety prior to Final Paint job and Assembly..
- Address any issues or concerns identified during testing, making necessary adjustments or repairs Prior to Final Paint job & Assembly .
- Perform a final quality inspection to ensure the custom vehicle meets the highest standards of craftsmanship and passes performance checks after Final Paint Job & Assembly.
Documentation and Delivery:
- Document the build process with photographs and written records for the client's reference, and for Cummings Custom Motorsports Records.
- Provide the client with a comprehensive overview of the vehicle's features, specifications, and maintenance requirements.
- Coordinate delivery or pickup of the custom vehicle, ensuring it is transported safely and securely to its destination.
Customer Satisfaction and Follow-Up:
- Follow up with the client during & after delivery to ensure satisfaction with the custom Vehicle and inquire about first impressions, reviews, & feedback.
- Address any questions or concerns the client may have and provide ongoing support as needed.
- Maintain open communication with the client to foster long-term relationships and potential future projects.
